Deal takeaways: What Copart CEO Jay Adair said about ACV Auctions acquisition

“We’re going to put these two companies together and it’s going to be amazing.”

ACV Auctions is more than a company in Buffalo. It's a symbol that innovation is alive and well in this city. It is the tangible proof that we have the infrastructure, talent and ambition to build great things in the 21st century.

But nothing lasts forever, especially when a company is traded on the public markets, where they have many owners united by an insatiable appetite for growth.

ACV reached the next stage of its journey Thursday with the announcement it would be acquired by Dallas-based Copart. The $1.9 billion deal is a reflection of ACV's long journey since its IPO on the NASDAQ (it now trades not on the NYSE) in 2021.

(ACV's IPO was a financial windfall for its investors, including 43North, and led to the creation of the 43North Foundation. Series B[uffalo] is the media/marketing arm of the Foundation).

Here are three takeaways from the announcement:


BAU

Nothing announced Thursday suggests an immediate retreat from ACV's operation in Buffalo, which includes a full suite of corporate executives led by CEO George Chamoun along with more than 600 employees, most of whom work out of the Innovation Center on the Buffalo Niagara Medical Campus.


ACV will operate as an independent subsidiary of Copart led by ACV's existing leadership team.

Furthermore, Copart

Copart's strategic impetus for the deal was to add a complementary service line, rather than simply buying a book of business in an area where it already operates. The deal was billed by the companies as a powerful combination of ACV's digital capabilities with Copart's extensive physical infrastructure.


ACV's high-level goals will remain unchanged.


"By joining forces with Copart we will be positioned to advance our mission, drive market expansion, and accelerate innovation with global scale," Chamoun said in the deal announcement. "Together, we will deliver even more value to our dealer and commercial partners by offering expanded capabilities, including leveraging Copart's nationwide footprint and a combined demand engine that ensures the right vehicle gets to the right buyer."

Copart’s executive team talked extensively about ACV Auctions during an investor call Thursday evening. Here are some takeaways from Jay Adair, the company’s CEO.

On executive synergy: George and I have gotten to know each other really well as well as many members of his senior team. It’s one of the things I talked about. They really have a start-up mentality the way they run the company. They are very agile and they are as non-corporate and I would say is non-large public company as you can get. They think scrappy like we do and you’ve heard me use those terms in the past. We are a very scrappy company that can make decisions very quickly and they have that same. They have very much the same culture.

Additionally, I’d say, there’s a friendship culture that they have. We’re all friends in this company. We get along. I mean, we don’t just get along, we hang out together. So it’s one of those things where we’re all pretty chummy and I notice that with them as well. So they’re going to fit in perfectly. We’re about winning. They’re about results-driven culture and I think we’re just going to get along great. We’re going to put these two companies together and it’s going to be amazing.


On tech investment:
You’ll see a continued investment in ACV as well as Copart on tech and making tech that enables the buyer to come in and access both products. And so they are separate, but they feel connected.


On integration:
We’ll be forming a team to see what benefits we can bring from ACV over to Copart, what benefits you can bring from Copart over ACV. And we’ve made it very clear that we’re looking at expanding domestically in whole car right now and internationally in insurance and in salvage. And so we’re going to continue on that path.


On leveraging growth:
ACV is a different product than Copart. The way they inventory the vehicle all the way through to the condition report, it is different. So I think this opens up the world and our ability to do a lot more vehicles in that space.
